General Terms and Conditions

Mega Investment Cooperative Society (Mega Coop Network)

These Terms and Conditions are established to guide the operations, responsibilities, and participation standards of members within Mega Investment Cooperative Society, operating online as Mega Coop Network (MCN). They are designed to ensure sustainable growth, compliance, and smooth cooperative operations.

By registering or participating in any program under Mega Coop Network, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions, including all related policies, which may be updated from time to time. Please refer to the specific Terms and Conditions for each of the cooperative’s platforms, especially the Mega Fundraising Program, which this document primarily addresses. Each platform has its own terms and conditions please refer to them from time to time.

Mega Coop Network reserves the right to update, amend, or revise these Terms at any time.

Definitions

  • “Member” or “Participant”: Any individual who has completed registration on the Mega Coop Network platform.
  • “Mega Coop Network (MCN)”: The online platform operated by Mega Investment Cooperative Society.

Membership Eligibility & Types

1. Fundraising Platform Membership

Participation in the Mega Coop Fundraising initiative requires a one-time, non-refundable registration donation. Available entry levels include:

  • ₦3,000 (Mini)
  • ₦10,000 (Boss)
  • ₦50,000 (Executive)
  • ₦100,000 (Vice Chairman)

These amounts contribute to our community support programs, provide access to rewards within the cooperative, and may qualify participants for special promotions or offers, including discounted shopping via the MCN Online Store (where applicable).

2. Regular Membership

This category is for individuals interested in accessing cooperative services such as:

  • Non-collateral and interest-based loans
  • Ajo/Esusu/Savings contributions with interest returns

Note: Registration includes a non-refundable administrative fee and does not guarantee loan approval. Applicants must meet requirements including:

  • Active savings for at least 6 months
  • Two credible guarantors who are existing participants

3. Mega Investors

To qualify as an investor or saver, individuals must first be registered regular members. Investor funds are managed by the cooperative in accordance with our Memorandum of Understanding (MOU) and cooperative investment principles.

Code of Ethics and Conduct

By registering with Mega Coop Network, you agree to the following ethical guidelines:

  • Conduct all activities with honesty, integrity, and fairness.
  • Do not create fake or duplicate accounts.
  • Refrain from defamatory or misleading statements about the cooperative or its members.
  • Accurately present cooperative goals and participation requirements.
  • Share and promote the cooperative responsibly and ethically.
  • Treat all participants respectfully, regardless of group.
  • Never promote the cooperative as a get-rich-quick scheme.
  • Do not create or sell marketing materials without written approval.
  • Avoid actions that could harm the cooperative’s integrity or reputation.
  • Use cooperative platforms and resources only for official activities.

Non-Solicitation Policy

For the duration of your membership and for two (2) years after its conclusion, you agree not to directly or indirectly solicit, recruit, or promote any external business opportunity to other Mega Coop members or partners met through the cooperative.

Violation of this policy may result in:

  • Immediate termination of membership
  • Loss of all program benefits
  • Possible legal action or regulatory reporting

Violations and Termination

Any breach of these Terms and Conditions may lead to:

  • Warning or account suspension
  • Membership termination
  • Loss of all program benefits
  • Further legal consequences if necessary

Final Notes

Participation in any Mega Coop Network program does not guarantee profits or financial returns. All programs operate under cooperative principles of contribution, transparency, and mutual support.

By registering, you agree to be bound by these Terms and Conditions.

Overview of Policies and Procedures

A Mega Coop participant is considered a duly authorized and fully registered member of the program—hereinafter referred to as a Mega Coop Grant Food and Cash Participant—only upon acceptance of the completed application and agreement by Mega Coop Network.

Mega Coop Network reserves the right to accept or reject any application or registration form at its sole discretion and is not obligated to provide reasons for such decisions.

All Mega Coop participants act as independent promoters. They are not employees, agents, or representatives of Mega Coop Network or Mega Investment Cooperative Society.

Each promoter is responsible for bearing their own costs, expenses, and tools associated with their participation in the program. It is also the responsibility of each member to meet the required qualification levels to earn any benefits from the cooperative’s reward system.

Accountability for Spouse’s Conduct: A member is responsible for the actions of their spouse, whether or not the spouse is officially registered. For example, if a member's spouse engages in conduct that damages or discredits the reputation of the cooperative or its participants, the member shall be held accountable for that behavior. Such violations may result in the termination of membership and forfeiture of all benefits.

Maintenance of Member Account Information

It is each member's responsibility to ensure that their personal and contact information remains up to date. This includes email address, mobile phone number, passwords, PINs, postal address, and any other confidential details related to their account.

Keeping information current ensures that members receive timely updates and communications from the cooperative. Important news and updates are also posted in the News & Events section of the Mega Coop Network website and within the member dashboard.

Disclaimer: Mega Coop Network and Mega Investment Cooperative Society shall not be held responsible for any form of loss (including but not limited to moral, financial, physical, legal, or reputational) resulting from participation errors, incorrect information submitted during registration, or misrepresentation by the member or any third party.

Security

Each member is responsible for maintaining the confidentiality of their login credentials, including E-token, password, transaction PIN, and e-wallet password. If a member suspects any breach of security or unauthorized access, they must notify Mega Coop Network immediately and update their login information.

Members are advised to use their E-tokens promptly to avoid unauthorized use. While Mega Coop Network has implemented reasonable security measures to protect user data and online transactions, it cannot guarantee absolute security and shall not be liable for any losses arising from security breaches.

Building a Personal Marketing Team

Members have the option to introduce the cooperative reward plan to others and form a personal marketing team. It is the responsibility of the referring member to support, train, and guide their recruits. Participants are advised to select their team leaders carefully as team matters should be resolved internally and amicably.

All prospective members have the right to choose their sponsor. Any disputes relating to sponsorship or genealogy will be addressed at the discretion of the network administrators.

Members must not exaggerate potential earnings or misrepresent the cooperative’s reward plan. Success is based on individual effort, teamwork, and consistency.

Prohibited Practices – Team Integrity

Unethical recruiting (previously referred to as “cross lining” or “cross sponsoring”) is strictly prohibited. This refers to attempting to recruit members already registered under another sponsor or team into one’s own marketing structure.

Members must not promote similar business opportunities to others in the cooperative, except to personally introduced contacts or closely related individuals (e.g., spouse, child, or parent living in the same household).

Violation of this rule may lead to penalties, including immediate termination of membership and loss of eligibility for cooperative rewards.

Use of Trademarks and Marketing Materials

Members may only use Mega Coop Network’s name, trademarks, or branding to promote the cooperative, and must represent themselves as independent participants. Marketing materials created by the cooperative may not be resold or altered. Purchase of such materials does not qualify members for any rewards or bonuses.

Mega Coop Network disclaims any warranty regarding the use or effectiveness of marketing materials unless otherwise stated in writing.

Member-Created Marketing Materials

Members may develop their own promotional content, but any use of the cooperative’s name, logos, or trademarks must be approved by the Compliance Department using the appropriate Compliance Approval Form. This form is available in the member dashboard or on request via official channels.

Mega Coop Network assumes no responsibility for the accuracy or legality of third-party content created by members. The cooperative does not endorse third-party products, services, or representations, and members are prohibited from implying an official association with the cooperative beyond participation rights.

Approved Literature

The cooperative provides official promotional materials available for download in the members' dashboard or Virtual Office. These materials are pre-approved for marketing purposes and must not be altered in any form.

Compliance Approval

All requests for marketing content approval must be submitted through the member dashboard or other designated communication channels as directed by the cooperative.

Mega Coop Network Website

From time to time, the cooperative may perform website maintenance or encounter unexpected technical issues. Mega Coop Network will strive to resolve these issues promptly. The cooperative may also access member accounts when needed for technical support or maintenance purposes.

Mega Coop Network is not liable for connectivity issues, data loss, or any damages resulting from access interruptions or errors on the platform.

Presentation of the Reward Plan

When introducing the cooperative to prospective members, participants must present only approved information as found in official reward plan documents and marketing literature. Any exaggerated claims or unauthorized promises are strictly prohibited.

If a prospective member is misled by a participant’s unauthorized promises, such complaints may be investigated by the cooperative, and disciplinary actions may be taken. However, restitution or damages must be pursued from the individual member responsible, not the cooperative.

Member Rights and Responsibilities

Members who choose to promote Mega Coop Network can earn rewards through the cooperative’s official reward plan. Participation is subject to approval of the registration and adherence to the Terms and Conditions.

To qualify for earnings, members must actively promote the cooperative—either by referring at least two new participants or consistently sharing group materials across various platforms. Rewards are based solely on the member’s personal effort, consistency, and team participation.

The cooperative does not guarantee income or success. Members who meet a reward milestone but abandon participation may forfeit their reward or bonus. The cooperative maintains a zero-tolerance policy toward abandonment after qualification.

Members are responsible for educating their team members about how the reward system, policies, and empowerment benefits work.

Income Representation

Members understand that any earnings or rewards from Mega Coop Network are based on participation in the cooperative’s community structure and result from referring and onboarding new members into the network, either directly or indirectly.

Progression within the cooperative's structure is dependent not just on referrals but also on active participation in promoting the empowerment opportunity. No member should make promises or guarantees about expected income. Any income earned is a direct result of the member’s own effort and the performance of their team.

Misrepresentation

Members must not misrepresent Mega Coop Network in any form. Misrepresentation includes, but is not limited to:

  • Presenting the marketing plan without clarifying that rewards are not earned solely from referring others.
  • Claiming that participation guarantees a fixed income or profit.
  • Using hypothetical earnings without disclaimers that results vary based on effort, timing, and other variables.

Policy Changes

Mega Coop Network reserves the right to modify its terms, rewards, membership fees, and benefits at any time. Members will be notified through email, website updates, dashboard announcements, or official group channels. It is each member’s responsibility to stay informed and compliant with all updates.

Fee Payments

Withdrawals and transfers on the platform are subject to standard fees. These include:

  • 5–20% for withdrawals above ₦2,000
  • ₦100–₦200 for smaller amounts
  • Minimum transfer to registration e-wallet: ₦2,000

These rates may be adjusted by Mega Coop Network as necessary without prior notice. The cooperative also reserves the right to determine whether incentives are converted to cash.

Award & Incentive Claims

To qualify for incentive claims, members must meet specified requirements. For instance, to claim a stage incentive, a member must have two active downlines at their current level. This encourages active team support and discourages inactivity.

The cooperative reserves the right to convert savings into either food packages or equivalent value in cash, depending on market or operational conditions.

Confidentiality

Members agree not to share confidential information such as the reward plan structure, team data, and official documentation without written approval. These materials are proprietary to Mega Coop Network and Mega Investment Cooperative Society and are protected under trade secret laws.

Transfer of Membership

Members may request the transfer of their account and associated benefits to another party by submitting a signed transfer document and recipient details to: info.megacoopnetwork@gmail.com. Approval is subject to verification.

Cancellation Policy

Members may request cancellation by emailing support@megacoopnetwork.org. Cancellation is subject to cooperative review and compliance with the terms. Refunds are not guaranteed and registration fees are generally non-refundable.

If a member voluntarily cancels or if the cooperative terminates the membership for violations or abandonment, re-registration will not be allowed for a minimum of 90 days. Members have the right to retract cancellation within this period, but MCN reserves final discretion on refunds or reinstatement.

Savings members may request early cancellation before maturity, subject to a 10% default fee and a 2–4 week processing period due to cooperative fund allocation policies.

Indemnity

Members agree to indemnify and hold harmless Mega Coop Network from any third-party claims, liabilities, damages, or legal expenses arising from their activities, content, or participation in cooperative programs.

Limitation of Liability

Mega Coop Network makes no guarantees regarding income or success and is not liable for indirect or consequential damages, including loss of profits or business interruption.

The total liability of Mega Coop Network for any claim will not exceed the total registration or participation fees paid, which are distributed as part of cooperative rewards.

Violation and Penalties

If a member violates any part of this agreement, including misleading marketing, fraudulent conduct, or any unethical behavior, Mega Coop Network reserves the right to impose penalties, including:

  • Suspension or blocking of the member's account
  • Temporary or permanent denial of earned rewards
  • Revocation of future incentive eligibility

Members will be notified of any violation and will have 7 days to respond in writing. Failure to respond within the stipulated time may lead to penalties being enforced. Investigations will be handled internally, and members may appeal decisions by submitting supporting materials within the given timeframe.

Penalties may apply retroactively to the date of violation, notice, or suspension. Suspended rewards will be treated as liquidated damages to the cooperative.

Imposition of Penalty and Termination

In the event of a confirmed violation, Mega Coop Network reserves the right to impose a monetary fine, the amount of which shall be determined at its discretion, and/or proceed with termination of the member’s participation agreement.

Any grace period, leniency, or temporary indulgence extended by Mega Coop Network shall not be interpreted as a waiver or forfeiture of its rights. All rights under this agreement remain fully enforceable at all times.

Official Language and Definitions

The English version of this agreement shall serve as the official version in all legal or interpretive matters. Translations into other languages may be provided for convenience but are not binding in the event of conflict.

Terminologies such as “refer,” “introduce,” or “recruit” are used strictly to describe a member's voluntary promotional or team-building efforts and are not to be interpreted as creating any binding relationship between the referring member and the new member.

Incorporation of Other Agreements

Where applicable, any member who has enrolled in the MCN Empowerment Opportunity is also bound by the User Agreement and the Acceptable Use Policy, both of which are incorporated herein by reference as if fully stated.

Entire Agreement

This document represents the entire agreement between Mega Coop Network and the member. No additional promises, statements, or assurances shall be valid unless officially provided in writing and signed by an authorized representative of Mega Coop Network.

Mega Coop Network reserves the right to amend this agreement, including provisions on entry fees, commissions, or incentives, without prior member approval.

Responsibility

Mega Coop Network shall not be held liable for the personal conduct or misbehavior of any member. Members act as independent individuals and are solely responsible for their actions.

Member Acknowledgement

By registering or participating in any of Mega Coop Network’s programs, the member affirms that they have read, understood, and agreed to all the provisions of this agreement. The agreement becomes effective only upon completion and confirmation of the registration process.

Anti-Spam Policy

Mega Coop Network enforces a strict zero-tolerance anti-spam policy.

Any member, team leader, or related party found to be engaging in spam activities—defined as unsolicited promotional messages through any channel—will face immediate termination of their account and forfeiture of any associated rights or rewards.

Mega Coop Network cooperates fully with appropriate legal and regulatory authorities to identify and prosecute individuals involved in spamming or other unauthorized communication practices.

Terms and Conditions of members in MICEP PROGRAM

MICEP is an empowerment programme organized by MEGA INVESTMENT COOPERATIVE SOCIETY LIMITED in collaboration with MIC-EP BUSINESS VENTURES, a registered business with CAC .

These are the terms and conditions guiding the use and involvement of participants on this empowerment program.

You are expected to pay a non refundable onboarding fee of ₦2,500 only.
Payment for wallet funding can be made into account provided(through instant paystack or flutterwave, virtual account if provided or mega investment Cooperative bank account) between Saturday to Thursday 12:00pm.
You must pay into your virtual account or any account provided bearing Mega investment cooperative society limited as beneficiary before 12:00pm Thursday if you are paying every week.
If you are on a daily plan, you must pay before 10:59pm daily.
If you are on a monthly plan or yearly plan, you must fund your wallet before the next payment day shown in your dashboard usually 1st friday of every month before 10:00pm to avoid getting fined.
If you fail to pay into or fund your wallet on time as stipulated, it will attract a 100% fine of the amount you ought to pay for that day, week or month.
Every member must introduce at least one person under a particular account who must be 5-6months in MICEP before the account can be empowered with 100% Cash and foodstuff as a thank you gift. Please note that this gift can be scrapped without any consent to users if found to be taken advantage of or if found for one reason or another to be unsustainable.
Uploading fake proof of payment or sending the same proof twice to cause confusion will lead to a ban on such an account.
Every account must contribute the sum commensurate to the plan chosen before it can be empowered.Example N1000 for 52 weeks is N52,000.
Every member of MICEP must buy the Cooperative's branded T.shirt/cap or souvenirs before the person will get his/her food incentives.
Termination of MICEP account attracts a termination fine of 25% of money contributed or ₦7500 which ever is higher and a wait period of 4-5weeks for processing after termination request is sent to get a refund.
Members must have a picture/video section with their food as a form of advertisement for the Program.
MEGA INVESTMENT COOPERATIVE EMPOWERMENT Payment is within 1-3 days from the date a withdrawal request is made.
As a member, you are advised to provide a trusted next of kin, that will get his or her contribution empowerment or refunded to in case the member dies(not our wish).
MICEP will not pay a dead member benefit if the member dies before his or her 52 weeks Contribution is concluded unless the relatives completes the contributions.
MICEP contribution empowerment is at the end of the plan least of which is 52wks ending(from 53rd week).
After making payment for your initial registration, you have 24-48hrs to fund your wallet for your contribution payment or else your account will be deactivated and you will have to pay another Onboarding fee to activate your account. So you are advised to have atleast 1-2 contributions money ready .
Note that any mistake made during your registration is at your cost, MICS will not be held responsible for any of such mistakes. Any payment made to Mega investment cooperative society account or account associated with it must be confirmed and if not found, it will require further investigation from the depositor which will require the depositor to provide his or her statement of account and any other information that will be required by MICS for further investigation.
All manually uploaded proof of payment will take 24 to 48 hours for confirmation .
Any account with over 4 weeks(5th default) fine will be suspended, ensure you clear your defaults/fines, don't allow it to accumalate. Any upline or sponsor to the suspended accounts will lose the account as a downline, and this might or may result in the upline not being eligible for empowerment and foodstuffs if such upline or sponsor account registration date is over 6 months.
You are expected to pay a clearance fee of ₦1,500 only for each account you are applying for incentives on.
Where a participant wants incentives to be sent to the park, a delivery fee apply per plan
No Active Referrer/Downline within six (6) months of onboarding, No Incentive/empowerment.
You can have multiple accounts and get multiple empowerments but you must pay on boarding fee for each account and plan because they are all separate accounts and plan.
Referral is not compulsory for empowerment if you have from 11 accounts upward but from 1-10 accounts, you need to refer at least 1 person.
You get unlimited referral bonus on each unique account that onboard through your Referral ID.
If you don't want to refer a new member, you can register 2 accounts by adding 1 account as the referral of the other. You do this by using the menu ADD ACCOUNT in your dashboard. Ensure you are logged into the 1st account(main). The same with adding a 3rd account. Switch to the 2nd account to add a 3rd account. Please note that Accounts are different from Savings plans.But any account unless from 11 upward without a referral within 5-6months on joining MICEP will not get EMPOWERMENT FUND of 100% and incentives.


MIC-EP LOAN TERMS AND CONDITIONS

By applying for and accepting a loan from Mega Investment Cooperative Society Limited, you agree to abide by the following terms and conditions:

1. ELIGIBILITY REQUIREMENTS

To qualify for a loan, the applicant must meet the following conditions:

Be an active contributor with a consistent savings record for at least six (6) consecutive months.

Maintain a valid and verifiable account with Mega Investment Cooperative Society Limited.

Submit a complete and accurate loan application form via the approved platform or representatives.

2. LOAN AMOUNT AND INTEREST RATE

Approved loan amounts are subject to the contributor’s savings history and internal risk assessment.
A flat interest rate of 9% will be applied to the approved loan amount and must be repaid alongside the principal.

3. REPAYMENT TERMS

The repayment period is minimum 4weeks and this will be determined during approval and communicated clearly before disbursement or as shown on the loan application page.
All loans must be repaid in full on or before the due date as stated in the loan agreement.

4. OVERDUE PAYMENTS AND PENALTIES

If repayment is not made on or before the due date, a daily overdue penalty of 1% of the outstanding loan amount will apply.
The overdue penalty accrues daily and will continue to accumulate until the loan is fully repaid or until the 14-day overdue limit is reached.

5. COLLATERAL AND GUARANTEE

Your current savings/contribution serves as collateral or guarantee for the loan.
If the loan is not fully repaid within 14 days of the due date, your ongoing savings and any accrued rewards or benefits will be forfeited.
The Cooperative reserves the right to suspend or delete your contribution account in such cases, and:
The loan amount, overdue penalties, and administrative charges will be deducted from your savings.
Any remaining balance (if available) will be refunded to you.
Your access to further cooperative benefits will be suspended until full compliance is restored.

5.1 THIRD PARTY COLLATERAL LOAN

This loan is given by a third party and requires collateral such as gold, car, house documents, guarantors and any other documents required by the loan company
The cooperatives in this case acts as a loan facilitator and is entitled to a percentage that will be agreed with the borrower in a separate confidential form. This percentage is separate from the percentage charged by the lender
Under this third party loan, the cooperative is subject to receive a non-refundable sourcing application fee from the borrower before such application is submitted or processed.
The borrower under this loan type must ensure he or she has all the documents available and can fulfil the requirements listed before submitting the form, as failure to get the loan does not guarantee the refund of the sourcing fee. It is non-refundable

6. LOAN DISBURSEMENT TIMELINE

With regards to the no-collateral loan, Once your loan application is approved by the admin, funds will be processed and credited to your designated account within three (3) working days.
Collateral loan disbursement is determined by the loan company(lender)

7. NON-COMPLIANCE AND FRAUD

Submitting false information or documents may result in permanent disqualification from all Cooperative services and may attract legal action.
Do not submit a loan application if you are not financially ready or unsure of your ability to repay.

8. ADDITIONAL TERMS

All loan applications are subject to final review and approval by the Cooperative loan management team.
The Cooperative reserves the right to amend, suspend, or withdraw the loan offering or any of its terms without prior notice, based on risk assessment or prevailing circumstances.

DECLARATION & AGREEMENT

By submitting your loan application:
You confirm that you have read, understood, and agreed to abide by these terms and conditions.
You authorize Mega Investment Cooperative Society Limited to deduct all applicable charges from your account in the event of default.
